Terms of service
Effective 28 September 2026 · Draft for review by counsel before publication.
1. The agreement
These terms are a contract between LeanTools ("we", "us") and the person or organisation that creates or uses a LeanTools workspace ("you"). By creating a workspace, accepting an invitation or making a call to the Service you agree to them. If you act for an organisation, you confirm you may bind it. The privacy policy forms part of these terms.
2. Accounts and workspaces
- You must give accurate details and keep your password and API keys confidential. Everything done with your keys is treated as done by you; revoke a key at once if it leaks.
- A workspace has an Owner who is responsible for it, including for the members they invite and the roles they assign.
- You must be at least 18 years old, or the age of majority where you live, to open a workspace.
3. Credits and billing
- Prepaid model. The Service is paid for with credits. Each call is charged at the unit price published on the pricing page or shown in your console at the time of the call. Prices may change with 14 days' notice; credits already purchased keep their value.
- Starter credit. New workspaces receive starter credit, which may not be transferred, refunded or exchanged for cash and may expire according to the terms shown in the console.
- Reloads. You may reload any amount within the limits shown in the console. Prepaid credits do not expire. Auto-reload, if you turn it on, charges your default payment method when the balance falls under the threshold you set, up to the monthly limit you set.
- Invoices. Reloads above the invoice threshold may be paid by bank transfer; credits are granted when funds clear. Invoices are due within 14 days.
- Refunds. Prepaid credits are refundable at their purchase price, less any used amount, within 30 days of purchase; afterwards they are non-refundable except where the law requires otherwise. Failed calls are not charged.
- Taxes. Prices exclude VAT, GST and similar taxes, which are added where applicable based on the country of the workspace.
- Insufficient credit. When a workspace has no credit, calls are refused until it is reloaded. We are not liable for work an agent could not complete for that reason.
4. Acceptable use
You may not use the Service, or let an agent use it, to: break the law or another person's rights; send spam or unsolicited messages; access systems or data without authorisation; distribute malware; circumvent rate limits, caps or approvals; mine cryptocurrency on disposable machines; scrape or monitor sites in breach of their terms; or attempt to extract another customer's data. We may suspend a key or workspace that we reasonably believe is in breach, and will tell you why unless the law prevents it.
5. Agents, approvals and guardrails
The Service gives autonomous software real capabilities. You are responsible for the instructions you give agents and for the results of the calls they make, including purchases, messages sent and records changed. Spend caps, per-key scopes, approval holds and the audit log are tools we provide to help you stay in control; using them is your decision. A held call that you approve is executed on your behalf as if you had made it.
6. Connectors and third-party services
Connectors let agents act inside third-party services with credentials you provide. You confirm that you are allowed to use those credentials for that purpose and that you comply with the third party's terms. We are not a party to your agreement with them and are not responsible for their availability, changes or charges. You may disconnect a connector at any time, which deletes the credential.
7. Your data
You own the content you send to the Service and the results it returns to you. You give us the licence needed to process that content to provide the Service. We handle personal data as described in the privacy policy, act as your processor for personal data inside your tool calls, and do not use your content to train models. You are responsible for having the rights and consents needed for the data your agents process.
8. Availability and changes
We aim for the Service to be available continuously but do not guarantee it. Tools marked beta may change or be withdrawn without notice. We may modify or retire a tool with 30 days' notice, except where security or a third-party change requires faster action. Scheduled maintenance is announced in advance where practical.
9. Intellectual property
The Service, its software, documentation and brand are ours or our licensors'. These terms give you a non-exclusive, non-transferable right to use the Service while your workspace is in good standing. Feedback you send us may be used without obligation. You keep all rights in your own content, agents and code.
10. Warranty and liability
The Service is provided "as is". To the extent the law allows, we exclude all implied warranties, including fitness for a particular purpose, and we are not liable for indirect, consequential or special loss, loss of profit, loss of data or the actions an agent takes. Our total liability for all claims in any twelve-month period is limited to the amount you paid us in that period. Nothing in these terms limits liability for death, personal injury, fraud, or anything that cannot be limited by law.
11. Termination
You may close your workspace at any time from Settings; this revokes every key, removes every member and forfeits unused starter or package credit (prepaid credit is refundable under section 3). We may suspend or terminate a workspace for breach of these terms, non-payment of an invoice, or if we discontinue the Service, in which case we refund unused prepaid credit. Sections 3, 7, 9, 10, 11 and 12 survive termination.
12. General
- These terms are governed by the laws of the jurisdiction in which LeanTools is established, and disputes go to its courts, without prejudice to mandatory consumer protections where you live.
- We may update these terms; material changes are announced in the console and by email to Owners at least 14 days before they take effect. Continued use after that date is acceptance.
- If a provision is unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver.
- You may not assign these terms without our consent; we may assign them to a successor of the Service.
- Notices to you are sent to the Owner's email address; notices to us go through the contact page.
